These Terms of Service ("Terms") govern the use of MonthDocs (the "Service") provided by , , ("we", "us"), to accounting and bookkeeping firms and other businesses ("Customer", "you"). By creating an account you accept these Terms on behalf of your business. The Service is intended for businesses only, not for consumers.

1. The Service

The Service lets you request, collect and review documents from your own clients through a web application and a client portal. It is not accounting, tax or legal software and does not provide professional advice. You remain responsible for your professional work and for checking the documents you receive.

2. Accounts and security

  • You must provide accurate information and keep it up to date.
  • You are responsible for keeping sign-in credentials confidential, for enabling two-factor authentication where appropriate, and for all activity in your firm account, including the actions of the team members you invite.
  • Tell us without delay at [email protected] if you suspect unauthorised access.

3. Free trial and fees

  • Every new firm receives a free trial of 30 days. No payment details are required for the trial.
  • During the current early-access phase the Service is provided free of charge. When the trial ends, new periods, client uploads and automatic reminders are paused until we agree on how you continue; your existing data stays available and exportable.
  • If we introduce paid plans, we will publish the prices and the payment terms before any charge applies, and you will only be charged after you have actively chosen a paid plan.

4. Your data and your clients' data

  • You keep all rights to the data and documents that you and your clients upload ("Customer Data"). We use Customer Data only to provide and secure the Service.
  • You are responsible for having a lawful basis to collect your clients' documents and for informing your clients about it.
  • For personal data in Customer Data you are the controller and we act as your processor under the data processing terms published on our Legal information page, which form part of these Terms.

5. Acceptable use

You must not use the Service to upload malware or unlawful content, to process data you have no right to process, to attempt to access other customers' data, to probe or disrupt the Service, or to send unsolicited messages. We may suspend access to the extent reasonably necessary to stop a breach of this section, and we will tell you why.

6. Availability, support and changes

  • We work to keep the Service available and secure but do not guarantee uninterrupted operation. Planned maintenance is announced in advance where possible.
  • Support is provided by e-mail at [email protected].
  • We may develop and change the Service. If a change materially reduces essential functionality or we change these Terms to your disadvantage, we will notify account owners at least 30 days in advance by e-mail; you may close your account before the change takes effect.

7. Liability

  • Nothing in these Terms limits liability that cannot be limited by law, including liability for intent, gross negligence, or injury to life, body or health.
  • Otherwise, we are not liable for indirect or consequential damage, lost profits or lost data that could have been avoided by reasonable backups or exports on your side.
  • Otherwise, our total liability arising from the Service in any twelve-month period is limited to the fees you paid for the Service in that period, or, if the Service was provided free of charge, to EUR 100 or the equivalent in your currency.

8. Term and termination

  • You can close your account at any time by writing to us from the account owner's e-mail address. Export your data before closing the account.
  • We can end the Service for your account with 30 days' notice, or immediately for a material breach of these Terms.
  • After an account is closed, Customer Data is deleted within 90 days as described in the Privacy Policy.

9. Governing law and disputes

These Terms are governed by the laws of , excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts competent for our registered office have exclusive jurisdiction, unless mandatory law provides otherwise.

10. Final provisions

If a provision of these Terms is invalid, the rest remains in effect. These Terms are written in English; translations are for convenience and the English version prevails.
